TERMS OF SERVICE
(MASTER SERVICE
AGREEMENT)
This Terms of Service Agreement (the "Agreement") constitutes a legally binding contract between you (the "User", "You", or "Your") and TVELVKO UKRAINA, TOV, a limited liability company incorporated under the laws of Ukraine (the "Company", "Teamco", "We", "Us", or "Our").
By accessing, downloading, installing, or using the Teamco mobile application, website (teamco.in), smart contracts, or any associated services (collectively, the "Platform"), you unequivocally acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Anti-Money Laundering (AML) Policy.
IF YOU DO NOT AGREE TO THESE TERMS, OR IF YOU ARE INELIGIBLE TO USE THE SERVICES UNDER APPLICABLE LAW, YOU ARE STRICTLY PROHIBITED FROM ACCESSING THE PLATFORM AND MUST CEASE USE IMMEDIATELY.
For the purposes of this Agreement, the following definitions shall apply:
- “Guarantee Fund”
- Means the segregated pool of Real World Assets (specifically USDT and/or Fiat reserves) held by the Company or its custodial partners, which mathematically backs the floor price of the TeamCoin utility token.
- “Mining Session”
- Means a specific, time-limited interval during which the User performs verifiable physical or social actions (Proof of Work) to unlock digital rewards.
- “Synced Data”
- Means physical activity data (step count) that has been successfully transmitted from the User's device via Google Fit or Apple HealthKit APIs to the Company's servers and validated by the Company's anti-fraud algorithms.
- “Task TTL” (Time-To-Live)
- Means the mandatory expiration period for any active mining task, set at 30 calendar days, after which un-synced progress is irreversibly discarded.
- “TeamCoin” (TMCO)
- Means the internal utility accounting unit (token) used within the Platform to measure User contribution and distribute rewards. It is not a security, share, or debt instrument.
3.1. Age Restriction (Strict 18+)
The Platform involves financial transactions, cryptocurrency asset management, and contractual obligations. You expressly represent and warrant that you are at least eighteen (18) years of age. Use by minors is strictly prohibited. Accounts found to be operated by minors will be terminated immediately, and funds may be frozen pending legal guardian verification.
3.2. Prohibited Jurisdictions
You may not use the Platform if you are located in, or are a citizen or resident of, any state, country, territory, or other jurisdiction where your use of the Platform would be illegal or otherwise violate any applicable law (including OFAC sanctioned countries).
3.3. Account Security & One-Account Policy
Users are limited to one (1) account per natural person. The use of multiple accounts ("multi-accounting"), device cloning, emulators, or automated scripts to create accounts is a material breach of this Agreement. You are solely responsible for maintaining the confidentiality of your login credentials (SSO tokens).
You acknowledge and agree that TeamCoin is a utility token designed for use within the Teamco ecosystem. It serves as a unit of account for:
- Quantifying physical effort (Proof of Activity).
- Quantifying social impact (Proof of Engagement).
- Distributing access to the Guarantee Fund.
TEAMCOIN IS NOT A SECURITY, COMMODITY, OR FINANCIAL INSTRUMENT UNDER THE LAWS OF UKRAINE OR OTHER JURISDICTIONS. THE COMPANY DOES NOT GUARANTEE ANY SPECIFIC PROFIT OR RETURN ON INVESTMENT. THE VALUE OF THE TOKEN IS DERIVED SOLELY FROM THE MATHEMATICAL MODEL OF THE GUARANTEE FUND.
5.1. The "Source of Truth" Doctrine
The Company does not independently measure physical activity. We rely exclusively on the aggregated data
provided by the Operating System of your mobile device via Google Fit API (for Android)
or Apple HealthKit API (for iOS).
Binding Determination: The number of steps recorded on the Teamco Server at the moment of
synchronization is final. We cannot and will not manually adjust step counts based on user claims,
screenshots, or third-party app data.
5.2. Disclaimer Regarding Wearables & Retroactive Sync
Teamco is designed to sync with the primary mobile device. While the Platform supports the synchronization
of historical data (retroactive sync), the Company DOES NOT GUARANTEE the successful
processing of such data due to OS API limitations (Google Fit / HealthKit).
Your Responsibility: It is your sole responsibility to ensure that your wearable device
has successfully synced data to your phone's central repository BEFORE you open the
Teamco app. If data appears in the OS repository after the sync request, Teamco may attempt to process it
retroactively on a "best-effort" basis, but we accept NO LIABILITY for potential data
loss or missed rewards caused by delayed synchronization.
5.3. Dynamic Difficulty (The X2 Rule)
You acknowledge that the parameters for mining (including the "Step Target") are dynamic and algorithmically determined. The system automatically adjusts difficulty based on the Global Average of all users. The Company reserves the right to modify the difficulty formula at any time to maintain economic stability.
6.1. THE 30-DAY HARD LIMIT (TIME-TO-LIVE)
To ensure the liquidity and solvency of the Guarantee Fund, the Company enforces a strict "Use It or Lose It" policy regarding active Mining Tasks.
The Rule: You must open the Teamco Application and successfully synchronize your device data with our servers at least once every 30 (thirty) calendar days.
Consequences of Inactivity: If a Mining Task remains unsynchronized for more than 30 days from its start date or last update:
- The Task is legally deemed ABANDONED by the User.
- The Task is automatically cancelled and removed from the active list.
- Any accumulated but unminted progress is IRREVOCABLY FORFEITED.
- The reserved reward budget associated with the Task is returned to the Guarantee Fund or the Sponsor.
NO APPEALS OR RESTORATION REQUESTS WILL BE ENTERTAINED FOR TASKS CANCELLED DUE TO THE 30-DAY INACTIVITY RULE.
8.1. Skill-Based Gaming Classification
Competitions, Leagues, and P2P Battles hosted on the Platform are classified as Games of Skill. The outcome is determined solely by the physical exertion and consistency of the participants (verified step data), not by chance or luck. You acknowledge that these activities do not constitute gambling.
8.2. Finality of Results
The Leaderboard standings at the exact moment of the Competition's expiration (Time-End) are FINAL
and BINDING.
The Company accepts no liability for synchronization delays caused by the User's internet connection,
device battery failure, or server latency occurring in the final minutes of a competition. Users are
advised to sync data well in advance of the deadline.
8.3. Public Visibility Consent
By entering a Competition, you explicitly consent to the public display of your Profile Name, Avatar, and Real-Time Step Progress to other participants for the purpose of gameplay transparency.
9.1. Deposits & Network Selection
The Platform supports deposits exclusively via the TRON Network (TRC-20) using the
USDT token.
IRREVERSIBLE LOSS WARNING: If you attempt to deposit funds using an unsupported network
(e.g., ERC-20, BEP-20, Solana) or an unsupported asset (e.g., Bitcoin, Ethereum), the funds will be
permanently lost on the blockchain. The Company does not control the blockchain and cannot recover these
funds. You assume full responsibility for the accuracy of your transactions.
9.2. Fees & Commissions
You agree that the Company may deduct applicable fees from your transactions, including but not limited to: (a) A 5% commission on P2P and Tournament prize pools; (b) Network gas fees for withdrawals; (c) Administrative fees for dormant accounts.
The integrity of the Teamco Economy relies on honest participation. We employ advanced heuristic algorithms and device telemetry to detect fraudulent activity.
10.1. Definition of Fraud
"Fraud" includes, but is not limited to:
- Using mechanical devices ("shakers", "swings", "cradles") to simulate steps.
- Software manipulation: GPS spoofing, altering system time/date, data injection attacks.
- Using emulators, virtual machines, or rooted/jailbroken devices to bypass security checks.
- Creating fake social media accounts to exploit the referral or social mining system.
10.2. The Suspension & Confiscation Process
- Immediate Suspension: Your account is temporarily locked for investigation.
- 30-Day Appeal Window: You have exactly 30 calendar days to file an appeal via
appeals@teamco.inwith proof of legitimate activity. - Final Decision: If no appeal is filed or the appeal is rejected, the account is terminated.

CONFISCATION PROTOCOL:
- TeamCoins: All TeamCoins and pending rewards are CONFISCATED and burned immediately.
- USDT Balances: USDT funds are NEVER BLOCKED OR CONFISCATED, with one exception: If the User has already withdrawn fraudulently earned TeamCoins to external wallets, the Company reserves the right to seize USDT balances strictly up to the value of the financial damage caused to the Guarantee Fund.
WAIVER: BY ACCEPTING THESE TERMS, YOU WAIVE ANY CLAIM AGAINST THE COMPANY FOR ASSETS CONFISCATED PURSUANT TO THIS POLICY TO COMPENSATE FOR PROVEN DAMAGES.
11.1. Health Disclaimer
Teamco is not a medical application and does not provide medical advice. Participation involves physical exertion. You agree that you engage in physical activities at your own risk. The Company is not liable for any injury, health complication, or death resulting from your participation in mining activities. Consult a physician before starting.
11.2. "AS IS" and Force Majeure
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company disclaims all warranties, express or implied. We are not liable for losses caused by: (a) Blockchain network failures or congestion; (b) Hacking of User devices; (c) Unforeseen regulatory changes; (d) Server downtime or data loss due to Force Majeure events.
This Agreement shall be governed by and construed in accordance with the laws of Ukraine. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the Rules of the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry (ICAC).
CLASS ACTION WAIVER: YOU AGREE TO RESOLVE DISPUTES WITH THE COMPANY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
7.1. Performance-Based Rewards (Not "Buying Likes")
You explicitly acknowledge that Teamco rewards are provided for Content Creation, Media Reach, and Influence Verification. The Platform does not sell or buy "likes", "follows", or "comments" in violation of Social Platform Policies. Rewards are calculated based on the performance metrics of the content you create or the validation of your status as an active audience member.
7.2. Compliance with Third-Party Terms
Your use of the Platform in conjunction with Instagram, Telegram, TikTok, or X (Twitter) is subject to the Terms of Service of those respective platforms. Any violation of Third-Party Terms (e.g., spamming, using bot networks to inflate metrics) constitutes a breach of this Agreement and may result in the immediate suspension of your Teamco account and forfeiture of rewards.
